WebSourcy Terms and Conditions

These Terms and Conditions govern purchases and services provided by WebSourcy, a California digital agency serving clients in the United States and internationally. By purchasing a package, approving a custom proposal, or authorizing work, the customer agrees to these Terms, the applicable package description or proposal, and the Privacy Policy.
1. Services and order documents
WebSourcy provides website design and development, ecommerce development, mobile application development, SEO, digital marketing, maintenance, integrations, automation, and related professional services. The purchased package page, checkout summary, written proposal, invoice, approved requirements, and these Terms together form the service agreement. If a signed custom proposal conflicts with these general Terms, the signed proposal controls for that specific project.
2. Package scope
Each fixed-price package includes only the features expressly listed when the order is placed. Items described as optional, add-ons, third-party services, future phases, custom integrations, content production, data migration, advanced automation, paid advertising, or ongoing management are excluded unless expressly included in writing. Features or pages beyond the package scope require a written change order and may change price and delivery estimates.
3. Prices and promotions
Prices are stated in U.S. dollars. A crossed-out price represents WebSourcy's standard package price; the lower price shown at checkout is the promotional purchase price available while displayed. Promotions are not redeemable for cash, cannot be combined unless stated, and may be changed or discontinued before purchase. The checkout total controls the amount authorized. Applicable taxes or government charges, if any, may be added where legally required.
4. Payment and authorization
Fixed-price packages require full payment through the secure checkout before work begins. Custom projects follow the payment schedule in their proposal. The customer represents that they are authorized to use the selected payment method. Failed, reversed, disputed, or fraudulent payments may pause work and access to deliverables. WebSourcy does not store full card numbers; payments are processed by the displayed third-party payment provider.
5. Project start and schedule
Payment alone does not start the production schedule. Work begins after WebSourcy receives complete project requirements, content, brand assets, credentials, approvals, and any other requested information. Delivery estimates are good-faith estimates, not guaranteed deadlines, unless a written proposal expressly states otherwise. Customer delays, scope changes, third-party reviews, app-store reviews, hosting incidents, and events outside WebSourcy's reasonable control extend the schedule.
6. Customer responsibilities
The customer must provide accurate instructions, timely feedback, lawful content, and working access credentials through approved secure channels. The customer represents that they own or have permission to use all submitted names, trademarks, images, copy, data, software, and other materials. The customer remains responsible for legal compliance specific to their business, including industry disclosures, accessibility obligations, privacy notices, taxes, product claims, and regulated content.
7. Revisions and change requests
Revisions are limited to the scope and update credits stated in the selected package or proposal. A revision adjusts an approved direction; it does not create a new concept, feature, page, platform, or project. Requests outside scope, repeated reversals of prior approvals, or work beyond included credits are quoted separately. No package includes unlimited work.
8. Domain, hosting, email, maintenance and Care Plans
When a package includes a domain, hosting, business email, maintenance, or Care Plan for 12 months, the included period begins when the applicable service is activated. Renewal fees after the included period are not part of the package price. WebSourcy will not automatically renew or charge the customer without separate express authorization. Before expiration, WebSourcy may offer renewal options and prices. If the customer does not renew, the affected domain, hosting, email, maintenance, backups, security monitoring, or website availability may expire or stop. Third-party renewal prices may change.
9. Third-party products and accounts
Domains, hosting, themes, plugins, fonts, stock media, APIs, payment processors, app stores, advertising platforms, maps, email providers, AI services, and other third-party products are governed by their own terms and fees. Unless expressly included, licenses, subscriptions, usage charges, app-store developer accounts, merchant fees, advertising spend, premium plugins, and renewal costs are the customer's responsibility. WebSourcy cannot guarantee third-party approval, uptime, continued availability, pricing, or policy decisions.
10. Ecommerce and mobile applications
The customer is responsible for products, fulfillment, returns, taxes, shipping, consumer disclosures, merchant-account approval, and regulatory obligations. Mobile-app packages include only the screens and functions listed. Apple App Store and Google Play approval are controlled by those platforms and are not guaranteed. Material changes required by a platform or requested after submission may require additional fees.
11. SEO, advertising and performance
SEO, analytics, conversion, advertising, speed, and accessibility work is performed using professional practices within the agreed scope. Search rankings, traffic, leads, sales, revenue, ad approval, platform approval, or specific performance scores are not guaranteed because results depend on competition, algorithms, content, customer operations, third parties, and market conditions.
12. Intellectual property
After full payment, the customer receives rights to final custom deliverables created specifically for the project, except for WebSourcy tools, reusable code, methods, templates, open-source components, and third-party materials. Those underlying and third-party items remain subject to their original ownership and licenses. Drafts, rejected concepts, and unpaid work remain WebSourcy property. WebSourcy may display a publicly launched project in its portfolio unless a written confidentiality agreement says otherwise.
13. Review, acceptance and launch
The customer must review deliverables and report material scope defects promptly. Approval, public launch, app submission, transfer of final files, or use of a deliverable constitutes acceptance of that milestone. Errors caused by customer-supplied content or later customer/third-party modifications are not scope defects.
14. Cancellation and refunds
A customer may request cancellation in writing. If requested within 24 hours of purchase and before discovery, setup, design, development, license acquisition, or other work begins, WebSourcy may refund the payment less a 10% processing and administration fee. Once work begins, earned fees, completed milestones, purchased licenses, payment fees, and other nonrecoverable third-party costs are nonrefundable. Any refund for an unperformed portion is determined from documented work completed and remaining scope. No refund is available for an accepted milestone, launched or deployed website, delivered source/final files, submitted application, completed integration, consumed maintenance period, completed SEO/marketing work, or third-party charge. If WebSourcy cancels without customer breach, WebSourcy will refund any prepaid amount allocable to unperformed work. Approved refunds are returned to the original payment method where possible.
15. Dormant projects
If the customer does not provide requested information or feedback for 45 consecutive days, WebSourcy may archive the project. Resuming an archived project is subject to team availability, a revised schedule, and any reactivation fee disclosed and accepted in writing before work resumes.
16. Confidentiality and security
Each party will use reasonable care with nonpublic business information received for the project. Customers should not send passwords in ordinary chat or email when a secure login or delegated-access method is available. No internet system is completely secure, and WebSourcy cannot guarantee protection from every attack or third-party breach.
17. Suspension and termination
WebSourcy may suspend or terminate work for nonpayment, unlawful or abusive activity, security risk, material breach, or prolonged noncooperation. The customer remains responsible for earned fees and committed third-party costs through termination.
18. Disclaimers and limitation of liability
Except for express written commitments, services are provided on an as-is and as-available basis to the maximum extent permitted by law. WebSourcy is not liable for indirect, incidental, special, consequential, or lost-profit damages arising from the project, third-party services, outages, rejected platform submissions, lost rankings, or customer modifications. To the maximum extent permitted by law, WebSourcy's aggregate liability for a claim will not exceed the amount paid for the specific service giving rise to that claim. Nothing in these Terms limits rights that cannot legally be limited.
19. Governing law and disputes
These Terms are governed by California law, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve disputes through written notice and direct discussion. Any court proceeding must be brought in a court of competent jurisdiction in California, unless applicable law requires otherwise.
20. Changes and severability
The version accepted at checkout governs that order. Updated Terms apply prospectively to later purchases unless the customer expressly agrees otherwise. If any provision is unenforceable, the remaining provisions remain effective. Failure to enforce a provision is not a waiver.
